Welcome to CodynSoft (“Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your use of our website, software products, services, and all related applications (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms.
Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use our Services.
1. Definitions
Client: The individual or entity entering into an agreement with the Company for software services.
Project: The specific software development, web design, or any digital service the Client has contracted the Company to perform.
Deliverables: The final output of the Project provided by the Company to the Client.
Milestone: A phase or checkpoint in the Project, typically tied to partial payment or client approval.
2. Scope of Services
We provide services including but not limited to software development, mobile and web application development, UI/UX design, maintenance, technical support, and consulting. The full scope of services will be outlined in a separate Project Agreement or Statement of Work (SOW).
3. Project Terms & Conditions
3.1 Project Initiation
A project commences only upon receipt of a signed agreement/proposal and the initial payment as agreed upon.
All project-related communications, deliverables, and deadlines will be documented and managed via an approved project management system or email.
3.2 Change Requests
Any modifications to the scope after the project has started will require a Change Request, and may affect the timeline and cost.
Additional work will only begin after written approval and cost confirmation by both parties.
3.3 Timeline and Delays
Timelines are estimated based on the scope provided. Delays caused by the Client, such as delayed feedback or missing content, may result in rescheduling or additional charges.
The Company is not liable for delays due to third-party services or force majeure events.
3.4 Intellectual Property
Upon full payment, all rights to custom code and deliverables will be transferred to the Client unless otherwise agreed.
The Company reserves the right to reuse open-source, pre-built components, or its own framework in other projects.
3.5 Confidentiality
Both parties agree to keep confidential information secure and not disclose it to any third parties unless required by law.
4. Client Responsibilities
The Client agrees to provide timely feedback, necessary resources, and approvals during the project.
The Client is responsible for ensuring all materials provided (content, images, data) do not violate any third-party rights.
5. Payment Terms
Payments are typically made based on milestones or monthly billing, as defined in the project agreement.
All invoices are due within 7–15 days unless otherwise agreed.
Delayed payments may incur late fees or pause in project activities.
6. Refund Policy
6.1 Eligibility
Refunds are only applicable under the following conditions:
The project has not been started and no hours have been spent.
A significant breach of agreement by the Company has occurred.
Delivery timelines are exceeded significantly without valid cause and without mutual agreement.
6.2 Non-Refundable Situations
Any completed milestone is non-refundable.
Delays or dissatisfaction due to insufficient communication or information from the Client.
Change in business strategy or decision from the Client’s end after the project has commenced.
6.3 Refund Process
Eligible refunds will be processed within 15 working days from the date of written request and approval.
Refunds will be issued using the same payment method as the original transaction.
7. Warranty & Support
We provide a limited 30-day bug-fix warranty post-project delivery.
Any enhancements, third-party integrations, or changes requested post-delivery are billable.
8. Limitation of Liability
The Company shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of the use or inability to use our services.
Liability shall not exceed the total amount paid by the Client for the specific Project.
9. Termination
Either party may terminate the agreement with a written notice of 14 days.
In case of termination, the Client agrees to pay for all completed work and related expenses up to the termination date.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of INDIA.
11. Updates to These Terms
We may revise these Terms & Conditions from time to time. Any changes will be posted on this page, with the “Effective Date” updated accordingly.
